Terms of Service
Solution Occasia Inc. governing terms for organizers, hosts, venues, merchants, and attendees across the Occasia platform ecosystem.
These Terms of Service (“Terms” or “Agreement”) constitute a legally binding agreement between Solution Occasia Inc., a corporation duly incorporated under applicable laws, operating the web and mobile platforms at occasia.tech and app.occasia.tech (“Occasia,” “Company,” “we,” “us,” or “our”), and any individual or entity accessing the Platform as an Event Organizer, Host, Venue, Merchant, or Attendee (collectively, the “User” or “you”).
Technology Facilitator Status & Complete Exclusion of Transaction Liability
Software Facilitator Role
Solution Occasia Inc. operates exclusively as a technology and software infrastructure provider facilitating interactions between Event Organizers and Ticket Purchasers/Attendees. Solution Occasia Inc. is not a bank, payment processor, money services business, or merchant of record, nor does it act as an insurer, guarantor, or escrow agent for any transaction.
Direct Merchant Relationship
All financial transactions, card charges, and fund disbursements occur directly between the Ticket Purchaser, third-party payment gateways (e.g., Stripe), and the Event Organizer.
Zero Transaction Liability
Under no circumstances shall Solution Occasia Inc. be party to, or bear any legal, commercial, or financial liability for, the underlying transaction amounts, ticket sales, VIP table reservations, bottle service packages, or venue access fees.
Chargebacks, Fraud & Automatic Indemnification
100% Organizer Responsibility
The Event Organizer assumes full and unconditional financial responsibility for all refunds, fraudulent transactions, stolen payment instruments, chargebacks, reversals, and associated payment gateway dispute fees related to tickets or tables sold for their events.
Automatic Recourse & Right of Set-Off
If a chargeback, reversal, or clawback occurs after ticket proceeds have been disbursed or paid out to the Organizer (including via instant payouts):
- • Solution Occasia Inc. is irrevocably authorized to debit the full disputed amount plus applicable dispute and administrative fees directly from the Organizer's pending payouts or linked bank accounts.
- • If the balance is insufficient, the Organizer shall remit the full deficit to Solution Occasia Inc. within three (3) business days of written demand.
Indemnification
The Organizer agrees to defend, indemnify, and hold harmless Solution Occasia Inc., its directors, officers, employees, and affiliates from and against any losses, liabilities, bank clawbacks, legal fees, court costs, and collection expenses arising out of any disputed payment, fraud claim, or event cancellation.
Strict Limitation of Liability
No Indirect Damages
To the maximum extent permitted by applicable law (including the Civil Code of Quebec), Solution Occasia Inc. shall not be liable for any indirect, incidental, punitive, exemplary, special, or consequential damages, including loss of profits, revenue, or business reputation.
Financial Cap
Solution Occasia Inc.’s total aggregate liability arising out of or related to the Platform, regardless of the legal basis (contract, extra-contractual fault, or negligence), is strictly capped at the lesser of:
- • The net platform convenience fee (e.g., $1.00 CAD per ticket) actually collected and retained by Solution Occasia Inc. for the specific transaction in dispute; or
- • $0.00 CAD with respect to the underlying face value or transaction amount of any ticket, VIP table, or package.
Mandatory High-Value VIP Door Verification Protocol
For any single transaction or aggregate booking by a single cardholder exceeding $1,000 CAD/USD (including VIP booths, tables, and group packages):
ID & Card Inspection
The Organizer must physically inspect the purchaser's valid government-issued photo ID and confirm that the name and last 4 digits match the physical payment card used.
Signed Delivery Release
The Organizer must obtain a signed VIP Table Authorization Form from the cardholder at check-in, acknowledging receipt of the table/services and waiving non-delivery claims.
Retention Duty
The Organizer must retain legible records of such verification for at least 180 days post-event and supply them to Solution Occasia Inc. upon request within 24 hours to contest dispute claims. Failure to follow this protocol constitutes a material breach and solidifies the Organizer's sole liability for any resulting clawback.
Payout Holds, Reserves & Security Audits
Solution Occasia Inc. reserves the right, at its sole discretion, to modify payout schedules, withhold instant payouts, or establish a rolling financial reserve (e.g., 5%–10% for 30–60 days) if:
- • High-value table/VIP transactions lack 3D Secure (3DS) authentication.
- • Suspicious velocity, multiple high-ticket purchases on a single card, or elevated fraud risk scores are detected.
- • A dispute or cancellation risk emerges prior to the event's conclusion.
Governing Law & Jurisdiction (Quebec)
This Agreement is governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any legal dispute, proceeding, claim, or demand arising between Solution Occasia Inc. and any User shall be submitted exclusively to the jurisdiction of the competent courts of the Judicial District of Montreal, Quebec.
